Terms of Service

By joining AVRevenue.com as an affiliate you agree to the terms and conditions herein, this is a binding contractual agreement between you and Vivelink Ltd.

1. Indemnification

By choosing to join AVRevenue as an affiliate you agree that AVRevenue will not be liable for indirect or consequential damages incurred while you are promoting AVRevenue.

2. Participation

You must be at least eighteen (18) years of age or the legal age in your jurisdiction to participate in the Program.

In order to participate, you must submit an application with Valid information via http://www.avrevenue.com/. We reserve rights to decline your application should we find anything unsuitable in your information or website.

By joining AVRevenue you agree to receive notices in regards to the AVRevenue program & new updates as long as you are a part of AVRevenue.

We reserve full right to refuse your participation in the Program for any reason.

Affiliate Responsibilities & Valid forms of Promotion

You may promote AVRevenue sites using any forms of promotion you choose that do not breach this agreement.

NO EMAIL PROMOTIONS OR CHAT TRAFFIC OF ANY KIND
1. We do not accept Email or Chat traffic of any kind, if the traffic sent originated from ANY KIND of email promotions or Chat traffic, the affiliates account will be suspended without pay!
2. You may not promote any AVRevenue sites through the transmission of individual and/or bulk e-mail
including but not limited to (Optin lists entry pages, ex member lists, bulk email of any kind, Can spam compliant mailers are also not accepted).
3. Affiliate breaching these mail conditions will forfeit all monies owed to them.


Do not use illegal/false advertising this includes but not limited
1. Sending traffic from sites containing child pornography or content that is not 18 USC 2257 complaint. We will report you to the authorities for such actions.
2. Do not send traffic from sites containing implied or real : beastiality, gore, rape, child porn, Torture, mp3, Warez, password trading sites or forums.
3. Do not send traffic from sites using false advertising to promote AVRevenue sites. False statements, or promising features & content that are not available inside the members area of said websites.
4. Do not send traffic from spamming news Groups, Yahoo Groups, ICQ, MSN, IRC or other various networks.
5. We do not pay affiliates for sending sign-ups via "illegal" methods, and we reserve the right to change our policy on Valid forms of promotion at any time without notice.
6. The acquisition of any domain name(s) or URL's that incorporate or are confusingly similar to any of the URLs owned by AVRevenue or any of its affiliated entities, including, but limited to, words or URLs such as "JapanHDV", "Tenshigao", "Baberotica", "Baberotica VR", "AV Jiali" or any URLs as determined by AVRevenue, in its sole discretion from time to time, is expressly prohibited. In the event that you do not comply with this notice, AVRevenue shall be entitled to reduce or cease the payout or payment amount otherwise due to Affiliate accordingly.
7. An Affiliate is not authorized to and shall not change, modify or in any way edit any AVRevenue Sites’ names, images, file names, trademarks, design logos, watermarks, banners, ads, descriptive logos or any other material for any purpose other than as expressly set forth herein or in any modification to this Agreement. Moreover, an Affiliate shall not remove, edit, modify, alter or change an AVRevenue Site’s watermark in any way, nor shall they insert publicity of any kind within the videos/scenes (during, before or after). The Affiliate acknowledges and understands that any breach of these provisions shall entitle AVRevenue to immediately revoke an Affiliate’s status under the Affiliate Program and Affiliate Referral Program without notice as well as to cancel the Affiliate's account and all monies due will be forfeited as partial damages for violation(s) of the terms and services of the Agreement.

Compliance and Content Promotion
1. AVRevenue may scan any websites submitted under the Affiliate Program to ensure that there is no non-compliant content. In the event that we believe, in our sole and absolute direction, that you are promoting any AVRevenue Site in violation of this Agreement, your account with AVRevenue will be immediately terminated and all moneys which would have otherwise been payable to you hereunder will be deemed surrendered by you in partial payment of the damages for your breach. In addition, as and when AVRevenue is alerted to any content it considers, in its sole and exclusive opinion, to be questionable AVRevenue may either terminate you as set forth above or provide you with a grace period as determined by AVRevenue, in its sole discretion, to remove the objectionable
2. All scenes (videos) belonging to an AVRevenue Site posted/uploaded/published onto websites by the Affiliate as part of the Affiliate Program shall not run longer than three (7) minutes in total duration. In addition, when posting/uploading/publishing a scene, the Affiliate agrees not to post more than one part of the scene. Any Affiliate that posts/uploads/publishes scenes longer than seven minutes and/or posts various parts of the same scene, acknowledges and understands that AVRevenue shall have the right to immediately revoke an Affiliate’s status without notice as well as cancel the Affiliate's account and all monies due will be forfeited as partial damages for violation(s) of the terms and services of the Agreement.
3. Affiliate acknowledges and agrees that its website(s) shall be in full compliance with Section 2257 of Title 18, United States Code, the "Records Keeping and Labeling Act" containing all information as required by Section 2257 of Title 18. Affiliate further acknowledges that it has a legal obligation to comply with disclosure provisions of the Records Keeping and Labeling Act and shall identify a custodian of records and address for each and every image appearing on the Affiliate's website and/or comply with all amendments of Section 2257 of Title 18. The Affiliate warrants that all content on its website shall be compliant with Section 2257 of Title 18 and all models were at least eighteen (18) years of age when content was created.
4. All AVRevenue program benefit materials, including but not limited to all advertising banners, photographic materials, recordings, video, sound, and any other form of intellectual property provided to the Affiliate by AVRevenue as part of this program shall remain the exclusive property of AVRevenue or any of its affiliated entities and may not be copied, reproduced, altered, modified, changed, broadcast, distributed, transmitted, disseminated, sold or offered for sale in any manner except as expressly authorized in writing by AVRevenue. The Affiliate acknowledges and agrees that nothing in this Agreement shall grant the Affiliate any right of ownership whatsoever in any intellectual property of AVRevenue or of any of its affiliated entities that own an AVRevenue Site, or the content found thereon. The Affiliate agrees that it will not take any action or act in any manner that shall ruin or otherwise impair the value and the goodwill associated with the AVRevenue brand and its property or any brand or property of an affiliated entity owning an AVRevenue Site or the content found thereon. Affiliate agrees not to use AVRevenue’s brand or AVRevenue Site’s proprietary marks in a manner that diminishes their value or portrays its associated products in a negative manner.
5. Affiliate website(s) must be labeled with the RTA label “Restricted To Adult”. The RTA label is free to use and can be download to the URL rtalabel.org

Commissions & payments

Program rates are based on the AVRevenue program you select. We reserve the right to change commission rates with or without notice to the affiliates. All affiliate payments will be made in US dollars via Wire transfer, US Check, Paxum, Your Safe or ACH Direct Debit, and payments will be made in EUR with SEPA EUR Transfer. Minimum payout is $100.

Termination

AVRevenue reserves the right to terminate any affiliate based on but not limited to the following criteria:
- Sign-ups sent by the affiliate have exceeded refunds/credits or charge-backs.
- Send fake sign-ups or performing an action that is deemed to be trying to cheat AVRevenue.
- Sign-up using your own account thereby illegally adding sales to your own account, or by having an associate or family member signing up for you.
- Breaching any of the terms set forth in this agreement.
- Your account and/or website is unsuitable for any reason.
- Breaching the 'Valid forms of Promotion' part of this agreement.
- If one of our billing processors identifies you as a fraudulent affiliate or has found that you have breached the terms & conditions.
- Affiliates advertising any AVRevenue sites using domains that are misspells on children websites.
- The Affiliate shall not use any AVRevenue Sites’ images or videos for promotion of any other site.
- The Affiliate did not login into the AVRevenue site for more than 1 year and didn't generate any revenue or traffic during that period.

Either party, AVRevenue or the affiliate may terminate this agreement at any time, with or without cause, by giving the other party notice of termination. To terminate your affiliate account email us. Notifying affiliates via email will be considered sufficient notice for us to terminate this agreement.

Affiliate accounts terminated by AVRevenue due to a violation of the terms and conditions set forth herein, cannot re-apply to the Affiliate Program without the prior written consent of AVRevenue. Subject to such restriction, the present Agreement will be binding on and enforceable against parties and their respective successors and assigns. Failure by AVRevenue to enforce strict performance of any provision in the Agreement will not constitute a waiver of its right to subsequently enforce such provision or any other provision of this Agreement.

AVRevenue reserves the right to cancel this Affiliate Program and Affiliate Referral Program at any time.

The parties to the agreement shall not be liable or be considered in breach or default under the Agreement on account of delay or failure to perform as required by this Agreement as a result of any causes or conditions that are beyond the party's reasonable control and that such party is unable to overcome through the exercise of commercially reasonable diligence, including but not limited to acts of God; wars, riots, acts of civil or military authority, terrorism; fire, flood, earthquakes, hurricanes, tropical storms or other natural disasters; strikes, etc.

Nothing in this Agreement shall be construed so as to create a relationship of partners, any partnership, joint venture, agency franchise, sales representative, or employment relationship between the parties. Affiliate will have no authority to make or accept any offers or representations on behalf of AVRevenue. Affiliate will not make any statement, whether on their website or otherwise, that would reasonably contradict anything in this Section. Affiliate is not an agent of AVRevenue and AVRevenue expressly disclaims responsibility for any conduct by Affiliate in violation of this Section or other terms of this Agreement.

AVRevenue will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement or any of the Affiliate Referral Program or the Affiliate Program, even if AVRevenue might have been advised of the possibility of such damages. Furthermore, AVRevenue’s aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the total commissions paid or payable to the Affiliate under this Agreement.

Affiliate hereby represents and warrants to AVRevenue that this Agreement has been duly and validly executed and delivered by the Affiliate and constitutes said Affiliate's legal, valid and binding obligation, enforceable against Affiliate in accordance with its terms; and that the execution, delivery and performance by the Affiliate of this Agreement are within their legal capacity and power; have been duly authorized by all requisite action on their part; require the approval or consent of no other persons; and neither violate nor constitute a default under the (i) provision of any law, rule, regulation, order, judgment or decree to which Affiliate are subject or which is binding upon Affiliate, or (ii) the terms of any other agreement, document or instrument applicable to Affiliate or binding upon the Affiliate.

The Affiliate may not assign this Agreement including the rights and obligations to any third party without the prior express written approval of AVRevenue.

If any term, clause or provision of the Agreement is held invalid or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other term, clause or provision and such invalid term, clause or provision shall be deemed to be severed from this Agreement.

Affiliate hereby agrees to indemnify, defend and hold harmless AVRevenue, its shareholders, officers, directors, employees, agents, affiliates, successors and assigns, from and against any and all claims, losses, liabilities, damages or expense (including attorneys' fees and costs) of any nature whatsoever incurred or suffered by AVRevenue (collectively the "Losses"), in so far as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim or threatened claim that the use of Affiliate Trademarks infringes on the rights of any third party; (ii) the breach of any promise, covenant, representation or warranty made by the Affiliate herein; or (iii) or any other claim related to Affiliate’s site.

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Cyprus without regard to conflicts of law principles. The sole and exclusive jurisdiction and venue for any action or proceeding arising out of or related to this Agreement shall be in an appropriate court located in the Republic of Cyprus. You hereby submit to the jurisdiction and venue of said Courts. You consent to service of process in any legal proceeding.

This Agreement shall be binding. The failure by AVRevenue to enforce the strict performance of the terms of any provision of this Agreement shall not be deemed a waiver of the right of AVRevenue to subsequently strictly enforce any provision of this Agreement. This Agreement constitutes the entire agreement between the Affiliate and AVRevenue. If for any reason a court of competent jurisdiction finds that any provision of this Agreement, or portion thereof, to be unenforceable, in whole or in part, that provision shall be enforced to the maximum extent permissible so as to effect the intent of this Agreement and the remainder of this Agreement shall continue in full force and effect.

By signing up to the Affiliate Program, and by supplying AVRevenue with all the required information to sign up as an Affiliate, the Affiliate is acknowledging that they have read and agreed to all of the terms and conditions, promises, warranties, duties and obligations set forth in the above agreement and agree to be bound by the terms thereof.

Server downtime & Availability

AVRevenue will not be held liable for any loss due to server downtime, network outages, network traffic issues across the AVRevenue server network
